END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User", "Customer", or "you") and Service On Sites Inc. ("Service On Sites", "Company", "we", "our", or "us") governing your access to and use of the Service On Sites software platform, mobile applications, APIs, and related services (collectively, the "Software").
1. LICENSE GRANT
Subject to compliance with this EULA, Service On Sites grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes.
2. RESTRICTIONS
You may not:

Copy, modify, distribute, or create derivative works of the Software.

Reverse engineer, decompile, or attempt to discover source code.

Resell, sublicense, or provide the Software to third parties.

Circumvent security or access controls.

Use the Software in violation of applicable laws.
3. CUSTOMER DATA
You retain ownership of all data submitted to the Software.
You grant Service On Sites the right to host, process, transmit, back up, and otherwise use Customer Data as necessary to provide the Services.
4. THIRD-PARTY SERVICES AND INTEGRATIONS
The Software may integrate with or exchange data with third-party software products, platforms, applications, and services, including but not limited to Sage 50, Sage Accounting, QuickBooks Online, QuickBooks Desktop, Microsoft products, payment processors, cloud hosting providers, and other business systems ("Third-Party Services").
Service On Sites accesses, stores, transmits, and processes information from Third-Party Services solely for the purpose of providing functionality requested by the Customer.
Service On Sites does not own, control, or operate any Third-Party Services and is not responsible for:
• The availability or uptime of Third-Party Services;
• Changes to third-party APIs or integration methods;
• Data inaccuracies originating from Third-Party Services;
• Security incidents occurring within Third-Party Services;
• Errors, interruptions, delays, or service limitations caused by Third-Party Services; or
• The discontinuation of any Third-Party Service.
Customer acknowledges that the use of Third-Party Services is subject to the terms, conditions, privacy policies, and licensing requirements of the applicable third-party provider.
QuickBooks is a trademark of Intuit Inc. Sage, Sage 50, and related Sage product names are trademarks of Sage Group plc and its affiliates. Service On Sites is not affiliated with, endorsed by, sponsored by, or certified by Intuit Inc., Sage Group plc, or their respective affiliates unless expressly stated otherwise.
5. PRIVACY
Use of the Software is subject to the Service On Sites Privacy Policy available at:

6. INTELLECTUAL PROPERTY
All rights, title, and interest in the Software remain the exclusive property of Service On Sites Inc.
No ownership rights are transferred to you under this EULA.
7. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE ON SITES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE ON SITES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
THE TOTAL LIABILITY OF SERVICE ON SITES SHALL NOT EXCEED THE FEES PAID BY CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. TERMINATION
Service On Sites may suspend or terminate access for violation of this EULA.
Upon termination, your right to access and use the Software immediately ceases.
10. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
11. CHANGES
Service On Sites may modify this EULA from time to time. Continued use of the Software following publication of updated terms constitutes acceptance of the revised EULA.
